    "description" : "Στην εργασία γίνεται αναφορά στην σύσταση Α.Ε. από συγχώνευση ατομικής επιχείρησης Ο.Ε.,  Ε.Ε., Ε.Π.Ε. ή κοινωνίας αστικού Δικαίου, Κοινοπραξίας με ορισμένες προϋποθέσεις: να βρίσκεται σε λειτουργία η επιχείρηση, η συμμετοχή των μελών στη νέα εταιρία με μετρητά ή σε είδος το μετοχικό κεφάλαιο της Α.Ε. να είναι τουλάχιστον 60.0006.\nΤις διαδικασίες συγχώνευσης: α)εκτίμηση ενεργητικού & παθητικού των υπό συγχώνευση επιχειρήσεων,  β)απόφαση όλων των εταίρων να περιβληθεί τον τύπο του συμβολαιογραφικού εγγράφου,  γ)η απόφαση να περιέχει τους υποχρεωτικούς όρους του καταστατικού της Α.Ε.  δ)’Εγκριση της διοίκησης,  ε)Διατυπώσεις δημοσιότητας. \nΣτη συνέχεια αναφέρεται στη συγχώνευση δύο Α.Ε. που μπορεί να γίνει είτε με διάλυση τους και σύσταση νέας, με απορρόφηση τους ή εξαγορά τους από άλλους.\nΣτην πρώτη περίπτωση οι διαλυόμενες θα μεταβιβάσουν τα στοιχεία του ενεργητικού και παθητικού τους στη συνιστώμενη εταιρία, οι δε μέτοχοι τους θα πάρουν μετοχές της νέας εταιρίας. Κατόπιν εξετάζεται ηη διαδικασία συγχώνευσης, η οποία συνοπτικά είναι η εξής:\nα)Σχέδιο σύμβασης συγχώνευσης καταρτιζόμενο από τα Δ.Σ. των συγχωνευομένων Α.Ε. υποβαλλόμενο στις διατυπώσεις δημοσιότητας.\nβ)Το Δ.Σ. των συγχωνευόμενων καταρτίζει επεξηγηματική έκθεση για το οικονομικό και νομικό πλαίσιο του σχεδίου σύμβασης.\nγ)Εκτίμηση των περιουσιακών στοιχείων των εταιριών από την επιτροπή του άρθρου 9, συντάσσει ‘Εκθεση και την υποβάλλει στη Γ.Σ. των μετόχων κάθε συγχωνευόμενης Α.Ε.\nδ)Αποφασίζει η Γ.Σ. για την έγκριση του Σχεδίου Σύμβασης συγχώνευσης.\nε)Συντάσσεται Συμβολαιογραφική Πράξη συγχώνευσης   και\nστ)Καταχωρείται η απόφαση συγχώνευσης στο Μητρώο Ανωνύμων Εταιριών (Μ.Α.Ε.). \tΑκολουθεί το κλείσιμο βιβλίων των Συγχωνευόμενων  Α.Ε. και οι εγγραφές Σύστασης της συνιστώμενης Α.Ε. Στο τέλος της εργασίας παρατίθενται τα συμπερασματα.",
