Σκοπός της παρούσας εργασίας είναι να παρουσιαστεί η σχέση μεταξύ της Επιτροπής
Ελέγχου (Audit Committee)

και των χαρακτηριστικών του Διοικητικού
Συμβουλίου2
, μέσα από ποιοτικά κριτήρια. Η σύνθεση και τα χαρακτηριστικά του ΔΣ,
ειδικότερα της υποεπιτροπής του, ΕΕ, μελετώνται σε σχέση με την λειτουργία του
τραπεζικού ιδρύματος, την λειτουργία της υπηρεσίας εσωτερικού ελέγχου καθώς και
την ορθή εφαρμογή των αρχών εταιρικής διακυβέρνησης. Τα ερωτήματα που
αποτελούν το αντικείμενο μελέτης είναι τα ακόλουθα δύο:
Α) Τα μέλη της ΕΕ αρκεί να έχουν γενικές οικονομικές γνώσεις ή θα πρέπει να είναι
πλήρως καταρτισμένα σε θέματα που αφορούν τον εσωτερικό έλεγχο και
Β) Η συχνότητα συνεδριάσεων της ΕΕ είναι παράγοντας που σχετίζεται θετικά με την
παρουσία των εταιρειών.
Αποτελείται από τέσσερα κεφάλαια, στα οποία παρουσιάζονται η έννοια της
ελεγκτικής επιστήμης, του εσωτερικού ελέγχου και της επιτροπής ελέγχου αναλυτικά,
μέσα και από την ισχύουσα νομοθεσία περί εταιρικής διακυβέρνησης, Κεφάλαιο 1
και 2, ενώ στη συνέχεια γίνεται αναλυτική περιγραφή στην έννοια της εταιρικής
διακυβέρνησης, μέσα από το μέγεθος και τις αρμοδιότητες του Δ.Σ. καθώς και του
ρόλου του Προέδρου, Κεφάλαιο 3. Στη συνέχεια, Κεφάλαιο 4, γίνεται συσχέτιση της
ΕΕ και του Δ.Σ. με την λειτουργία του τραπεζικού ιδρύματος, μέσα από ποιοτικά
δεδομένα και την συνολική παρουσία του τραπεζικού κλάδου το χρονικό διάστημα
της μελέτης μας
This paper attempts to explore the correlation between the Audit Committee and the
special characteristics of the Board, examined through qualitative criteria. The
elements of the Board of Directors, especially that of its Subcommittee-Audit
Committee- are considered in relation to the operation (function) of the bank institute
and the internal audit section and to the proper implementation of corporate
governance principles. Those queries which are processed are the following two:
A) The members of the Audit committee are sufficient to have general knowledge of
economics or should be fully trained in matters relating auditing and
B) The frequency of the Audit Committee’s meetings is a factor that is positively
associated with the entities’ function.
It consists of four chapters, where in Chapter 1 and 2 it is presented the concept of
auditing as a science as well as the meaning of the audit committee and the meaning
of internal audit when examined through the existing legislation on corporate
governance. In Chapter 3, a detailed description of the concept of corporate
governance is presented along with the size and the responsibilities of the Board and
the role of the President. Then, in Chapter 4, a correlation between the Audit
Committee, the Board and the function of the selected banks is attempted, through
qualitative data and the overall presence of the bank sector in a period of our study
