Η δημόσια επιχείρηση είναι ένα είδος νομικού προσώπου, το οποίο συνίσταται με νόμο υπό του κράτους και με περιουσιακά στοιχεία αυτού για την άσκηση παραγωγικής ή επιχειρηματικής δραστηριότητας, κατά τους κανόνες της ιδιωτικής οικονομίας, διέπεται από το ιδιωτικό δίκαιο, έχει συνήθως μορφή ανώνυμης εταιρίας και έχει ευρεία διοικητική ανεξαρτησία παρότι υπόκειται σε κρατική εποπτεία και έλεγχο, χάριν του δημοσίου συμφέροντος. Ειδικά η δημόσια επιχείρηση κοινής ωφελείας απολαμβάνει ολόκληρης σειράς δημοσίων προνομίων και ασκεί δημόσια εξουσία προς τον σκοπό εκ παροχής υπηρεσιών για τη κάλυψη ζωτικών αναγκών του κοινωνικού συνόλου. Αποτελεί δηλαδή επιχειρηματική δραστηριότητα, την οποία ασκεί κατ’ ουσία το ίδιο το κράτος υιοθετώντας οργανωτικές μορφές, σχήματα και θεσμούς του ιδιωτικού δικαίου προς τον σκοπό της ικανοποίησης του δημοσίου συμφέροντος και μάλιστα με τρόπο άμεσο. Τα μονομερή ή πολυμελή όργανα διοίκησης των δημοσίων επιχειρήσεων που ασκούν παροχική διοίκηση έχουν χαρακτήρα διοικητικής αρχής, τα δε βασικά πρόσωπα που τα συγκροτούν, χαρακτήρα δημοσίων λειτουργών εφόσον λόγω της θέσης τους εκπληρούν συγκεκριμένα κριτήρια. Αντίθετα όμως με το καθεστώς των οργάνων διοίκησης όπου το δημόσιο δίκαιο έχει ρόλο βασικό, το καθεστώς του προσωπικού των δημοσίων επιχειρήσεων διέπεται κατ’ αρχήν από το ιδιωτικό δίκαιο. Η ιδιωτικού δικαίου φύση της σχέσης του προσωπικού με τη δημόσια επιχείρηση, καθώς και η ισχύς επ’ αυτού κατ’ αρχήν των διατάξεων του εργατικού και του ιδιωτικού δικαίου, επιβεβαιώνουν το γεγονός ότι η εσωτερική οργάνωση της δημόσιας επιχείρησης γίνεται βάσει οργανωτικών μορφών και τύπων αυτού του κλάδου του δικαίου. Η αυτονομία όμως, της βούλησης της δημόσιας επιχείρηση, στο πλαίσιο της συναλλακτικής δραστηριoποίησής της και της σύμβασης που συνάπτει με τον αντισυμβαλλόμενο, τον οποίο προσλαμβάνει, περιορίζεται από την έντονη παρουσία διατάξεων αναγκαστικού περιεχομένου, όπως χαρακτηριστικά είναι οι κανονισμοί εργασίας που αποτελούν υποχρεωτικά και περιεχόμενο της ιδρυόμενης ατομικής σχέσης εργασίας. Παράλληλα, όμως για το προσωπικό των δημοσίων επιχειρήσεων ισχύει μία σειρά διατάξεων δημοσίου δικαίου που συμπληρώνουν το πλέγμα των διατάξεων του ιδιωτικού και εργατικού. Επίσης, το προσωπικό των δημοσίων επιχειρήσεων απολαύει των ατομικών και πολιτικών του δικαιωμάτων στα πλαίσια όμως περιορισμών, αντίστοιχων με τους ισχύοντες επί των δημοσίων υπαλλήλων, οι οποίοι όμως στη συγκεκριμένη περίπτωση προβλέπονται από διαφορετικές πηγές δικαίου (Σύνταγμα, νόμοι, κανονισμοί εργασίας) και βέβαια δεν είναι της ίδιας έντασης με αυτές που ισχύουν επί των δημοσίων υπαλλήλων. Τα συμπεράσματα της έρευνας επιβεβαιώνουν την παρουσία αποκλίσεων δημοσίου χαρακτήρα στο καταρχήν ιδιωτικού δικαίου καθεστώς του προσωπικού των δημοσίων επιχειρήσεων. Επιβεβαιώνουν δε περαιτέρω ότι η δημόσια επιχείρηση είναι μεν οργανωμένη εσωτερικά, βάσει οργανωτικών μορφών ιδιωτικού δικαίου και της ιδιωτικής οικονομίας, αλλά παραμένει ισχυρά προσδεδεμένη στον τελικό σκοπό λειτουργίας της που είναι το δημόσιο συμφέρον, χάριν μάλιστα της προστασίας της οποίου επιστρατεύονται και παρεμβαίνουν στοιχεία με αμιγώς δημόσιο χαρακτήρα ακόμα και στο εργασιακό καθεστώς του προσωπικού τους, επαληθεύοντας τελικά και την μικτή φύση, συνολικά του θεσμού της δημόσιας επιχείρησης.
Τhe public enterprise is a kind of legal entity which is established, pursuant to a specific law, by the state and with the state’s resources, with the aim to carrying out productive or business activity, in accordance with the rules governing the private economy. It operates under the private law, it has usually the form of a “societe anonyme” (SA) and enjoys wide administrative independence, although it is supervised by the state, in the public interest. More specifically, a public utility undertaking enjoys a large number of privileges granted by the state and exercises power with a view to providing services in order to cover vital needs of the society as a whole. It is, therefore, a business activity mainly exercised by the state by means of adopting organisational forms and institutions of the private law and the private economy towards satisfying directly the general interest of citizens. The administrative bodies, one-member or collective ones, of the public enterprises which offer goods and services to the society as a whole, constitute an administrative authority whose main members are public officials who, depending on their position, fulfil specific criteria. However, although the status of the administrative bodies is mainly governed by the public law, the status of the staff of public enterprises is governed, in principal, by the private law. The working relationship under private law of the staff with the public enterprise, as well as the application of the provisions of the labour and private law on the staff of the said enterprise, confirm the fact that the internal organisation of the public enterprise follows the types and forms of organisation provided for by the said law. The autonomy of volition of the administrative bodies of the public enterprise, within the framework of its activities relating to the provision of goods and services and the agreement it concludes with the other party, whom it hires, is limited due to the existence of provisions of obligatory nature, as for example the working terms and conditions which also constitute the content of the established individual working relationship. Furthermore, a number of provisions of the public law apply to the staff of the public enterprise supplementing the total of the provisions of both the private and labour laws. Moreover, the staff of the public enterprises enjoy their individual and political rights with restrictions, however, which are relevant to those applying to civil servants; yet, the restrictions applying to the civil servants are provided for by different legislative texts (constitution, acts, internal rules) and therefore, they are more severe than those applying to the staff of the above mentioned public enterprises. The conclusions of the research confirm the fact that the working relationship of the staff of the public enterprises governed by the private law comprises features of the public law. It also confirms that, although the public enterprise is organised on the basis of organisational forms under private law and the private economy, it remains devoted to its goal, which is the public interest for the protection of which features of the pure public sector are taken into account and used in the formulation of the status of work of their staff, verifying also the dual dimension of the concept of public enterprise as a whole.
